Wilson Universal Affiliate Program Agreement & Code of Conduct

Wilson Universal Business Solutions | OptimAl CRM PLEASE READ CAREFULLY:

THIS AGREEMENT INCLUDES A CLASS ACTION WAIVER AND A DISPUTE RESOLUTION SECTION. BY PARTICIPATING IN THE AFFILIATE PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Introduction

This Affiliate Agreement (the "Agreement") governs your application and participation in the Wilson Universal Business Solutions Affiliate Program ("Program") promoting OptimAl CRM and Wilson Universal Coaching Services.

By participating in the Program, you ("Affiliate, you, "or " your") agree to be legally bound by this Agreement between you and Wilson Universal Business Solutions, LLC ("Wilson Universal," "we," or "us").

Wilson Universal reserves the right to update or modify this Agreement at any time. Continued participation in the Program after any changes constitutes acceptance of the new terms.

If you are participating on behalf of a company or organization, you warrant that you have the authority to bind such entity.

2. Program Terms

You must complete an Affiliate application and be approved by Wilson Universal before earning commissions. You agree to provide accurate and truthful information in your application. You agree to comply with all applicable laws, including FTC endorsement guidelines when promoting OptimAl CRM and Wilson Universal services.

3. Commission Structure

As an approved Affiliate, you are eligible to earn:

30% lifetime commission on all active, referred OptimAl CRM users as long as their subscription remains active. 15% commission on all coaching and consulting services sold to your referrals.

Commission Details:

Commissions are paid monthly, approximately 30 days after the customer’s payment has been processed. You must maintain an active payment account (such as Stripe or PayPal) to receive payouts. Payouts require a minimum commission balance of $50 USD. If an account cancels or requests a refund, related commissions are reversed. Self-referrals are strictly prohibited.

4. Affiliate Links and Tracking

You will be issued a unique affiliate tracking link to refer prospects to Wilson Universal websites. Commissions are credited based on the last-click cookie model with a 90-day attribution window.

If a prospect signs up within 90 days of clicking your link, you earn the associated commission.

5. Affiliate Conduct

You agree to:

Promote OptimAl CRM and Wilson Universal services in a truthful and ethical manner. Clearly disclose your affiliate relationship in all marketing content (per FTC guidelines). Not engage in spam, misleading ads, unauthorized discounts, or inappropriate promotion.

Violation of these rules may result in removal from the Program and forfeiture of commissions.

6. Intellectual Property

Wilson Universal grants you a limited, non-exclusive license to use provided logos, images, and promotional materials strictly for Program
purposes.

All intellectual property rights remain owned by Wilson Universal Business
Solutions.

7. Termination

Either party may terminate this Agreement at any time by providing written notice.

Upon termination, any outstanding commissions will be paid out according to normal schedules, but no new commissions will be earned for future referrals.

Wilson Universal reserves the right to suspend or terminate any Affiliate who violates the terms of this Agreement or applicable laws.

8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Ohio, United States.

Any disputes arising from this Agreement will be subject to mediation before proceeding to court.

YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

9. Modification

Wilson Universal may modify this Agreement at any time by posting a new version online. You are responsible for reviewing updates. Continued participation constitutes acceptance.

10. Affiliate Code of Conduct

As an Affiliate Partner, you agree to:

Always clearly and conspicuously disclose your relationship with Wilson Universal and OptimAl CRM when promoting offers (per FTC endorsement guidelines). Represent Wilson Universal and OptimAl CRM truthfully, accurately, and professionally. Avoid false claims, misleading statements, or unsubstantiated promises about income, business growth, or results. Not promote Wilson Universal or OptimAl CRM using spam, fake reviews, unsolicited email, or deceptive marketing tactics. Respect the intellectual property rights of Wilson Universal, OptimAl CRM, and third parties. Comply with all applicable laws, regulations, privacy laws, and advertising standards. Maintain the security of your affiliate tracking links and personal account information.

Violating these standards may result in immediate termination from the Program and forfeiture of unpaid commissions.

11. Confidentiality and Privacy

You agree to treat any non-public information about Wilson Universal, OptimAl CRM, our customers, or our systems as confidential. You may not disclose, share, or misuse confidential information for any purpose outside of promoting Wilson Universal under this Program. You must maintain the confidentiality and security of any personal information you receive about customers or prospects in compliance with applicable privacy laws. If you become aware of any data breach, security issue, or misuse of confidential information, you must notify Wilson Universal immediately.

12. Intellectual Property Rights

All OptimAl CRM and Wilson Universal trademarks, logos, product names, and promotional materials remain the exclusive property of Wilson Universal Business Solutions. You are granted a non-exclusive, non-transferable, revocable license to use approved marketing materials solely for promoting Wilson Universal and OptimAl CRM under this Program. You may not alter, modify, misrepresent, or misuse any brand assets.

13. Limitation of Liability

Wilson Universal Business Solutions makes no guarantees of earnings, income, or business success through the Affiliate Program. We are not liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program. Our maximum liability to you shall not exceed the total commissions paid to you in the 3 months preceding any claim.

14. Dispute Resolution

You agree to attempt to resolve any disputes related to this Agreement through informal discussions first. If a dispute cannot be resolved informally, it will be submitted to mediation in Summit County, Ohio. If mediation is unsuccessful, any lawsuit must be filed in the courts located in Summit County, Ohio. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Force Majeure

Neither party will be liable for failure to perform its obligations under this Agreement if the failure is due to a Force Majeure event, including acts of God, war, natural disasters, pandemics, or other unforeseeable events beyond reasonable control.

16. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

This Agreement constitutes the complete agreement between
you and Wilson Universal regarding your participation in the Affiliate Program.
It supersedes any prior agreements, understandings, or representations.
